General Terms and Conditions

1. Definitions and Interpretations
1.1 "Company" refers to Konsey Tekstil Ith Ihr San Tic Ltd Sti, based at 5745/3 sok.
No:12/14 MTK Sitesi, Izmir, Turkey.
1.2 "Buyer" refers to any individual, company, or entity purchasing goods from the
Company.

2. Applicable Law, Jurisdiction, and Cession of Claims and/or Receivables
2.1 All agreements between the Company and the Buyer shall be governed by and
construed in accordance with the laws of the Republic of Turkey.
2.2 In the event that Company cedes any of its claims or receivables to a foreign
company, the jurisdiction of the ceding company's country shall apply to those
specific agreements and/or invoices that are subject of the cession.

3. Orders and Acceptance
3.1 All orders placed by the Buyer are subject to acceptance by the Company.
3.2 The Company reserves the right to refuse any order at its sole discretion.

4. Prices and Payment
4.1 Prices for goods are as quoted by Company and are subject to change without
notice.
4.2 Payment terms shall be agreed upon between the Company and the Buyer before
the execution of the order.

5. Delivery and Title
5.1 Delivery of goods shall be made to the address specified by the Buyer.
5.2 Title to the goods shall pass to the Buyer upon full payment.

6. Interest rates and costs
6.1 In the event of late payment by the Buyer, the Buyer shall pay interest on the
outstanding amount at the rate of 10% per year.
6.2 In addition to interest, the Buyer shall be liable to reimburse to Company all costs
that have been incurred in order to collect receivables, with a minimum lumpsum of
1000€.
6.3 Interest and costs shall accrue from the due date of the invoice until the date of
full payment.
6.4 If the Buyer defaults on payments for an extended period, the Company may
pursue legal action to recover the outstanding amount, and the Buyer shall be
responsible for any reasonable costs, including legal fees, incurred by the Company in
recovering the debt.

7. Force Majeure
7.1 Company shall not be liable for any delay or failure to perform its obligations due
to circumstances beyond its reasonable control.

8. Amendments
8.1 These general terms and conditions may be amended by Company from time to
time without prior notice.
